1. Introduction

Welcome to Bike Fit Performance, a mobile application provided by Kalida Technologies Inc. ("Company", "we", "our", "us"). By downloading or using our app, you agree to comply with and be bound by these terms and conditions ("Terms"). Please read these Terms carefully. If you do not agree with these Terms, please do not use our app.

2. Use of the Application

• Eligibility: You must be at least 18 years old to use our application. By using the app, you represent and warrant that you meet this age requirement.
• Account Registration: To access certain features of the app, you may need to create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.
• Prohibited Conduct: You agree not to use the app for any unlawful purpose or in any way that could damage, disable, overburden, or impair the app. You also agree not to attempt to gain unauthorized access to any part of the app or any other accounts, systems, or networks connected to the app.

3. Intellectual Property

• Ownership: All content, features, and functionality of the app, including but not limited to text, graphics, logos, and software, are the exclusive property of Bike Fit Performance and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
• License: We grant you a limited, non-exclusive, non-transferable, and revocable license to access and use the app for your personal, non-commercial use. Any use of the app not expressly permitted by these terms is a breach of these terms and may violate copyright, trademark, and other laws.

4. Privacy

Your use of the app is also governed by our Privacy Policy, which explains how we collect, use, and disclose your information. By using the app, you agree to the terms of the Privacy Policy.

5. Disclaimer of Warranties

• No Warranty: The app is provided on an "as is" and "as available" basis. Bike Fit Performance makes no representations or warranties of any kind, express or implied, regarding the use or the results of this app in terms of its correctness, accuracy, reliability, or otherwise.
• Limitation of Liability: In no event shall Bike Fit Performance or its suppliers be liable for any damages (including, without limitation, damages for loss of data or profit, or due to business interruption) arising out of the use or inability to use the app, even if Bike Fit Performance has been notified orally or in writing of the possibility of such damage.

6. Indemnification

You agree to indemnify, defend, and hold harmless Bike Fit Performance, its officers, directors, employees, and agents, from and against any claims, liabilities, damages, losses, and expenses, including without limitation, reasonable legal and accounting fees, arising out of or in any way connected with your access to or use of the app or your violation of these terms.

7. Modifications to the Terms

Bike Fit Performance reserves the right, at its sole discretion, to modify or replace these terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

8. Governing Law

These terms shall be governed and construed in accordance with the laws of Canada/Québec, without regard to its conflict of law provisions.
